These End-User License Agreement and Terms of Use (“Terms”) govern access to and use of Unique AI, operated by Unique Landscapes by Griffin, Inc. (“Unique,” “we,” “us,” or “our”).
Unique AI is a business software platform intended primarily for authorized employees, contractors, administrators, and other users expressly permitted by Unique. It may include artificial intelligence capabilities, business information tools, integrations with third-party services, and other operational functionality.
By accessing or using Unique AI, you agree to these Terms.
1. Authorized Use
Unique AI is provided only to users who have been expressly authorized by Unique.
You may use Unique AI solely for legitimate business purposes and within the permissions, responsibilities, and authority assigned to you.
Access to information does not by itself grant authority to approve, change, commit, transmit, or execute a business action.
You are responsible for complying with applicable company policies, permissions, approval requirements, contractual obligations, and laws when using Unique AI.
2. Limited License
Subject to these Terms, Unique grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use Unique AI for approved business purposes.
No ownership interest in Unique AI, its software, designs, workflows, data structures, documentation, or intellectual property is transferred to the user.
Except as expressly authorized, users may not copy, sell, sublicense, distribute, reverse engineer, attempt to defeat security controls, gain unauthorized access, interfere with operation of the service, or use Unique AI for an unlawful purpose.
3. User Accounts and Security
Users are responsible for safeguarding their credentials and for activity performed through their accounts.
Users may not share credentials or attempt to access information, workspaces, records, or capabilities for which they have not been authorized.
Unique may monitor, restrict, suspend, or terminate access when reasonably necessary for security, administration, compliance, protection of company information, or enforcement of these Terms.
4. QuickBooks Online Integration
Unique AI may connect to QuickBooks Online through services provided by Intuit Inc.
A QuickBooks connection is established only after an authorized user completes Intuit’s authorization process.
As currently implemented, the QuickBooks integration may access authorized accounting information such as:
The current QuickBooks integration is configured for read-only accounting access. Unique AI does not currently create, update, or delete QuickBooks accounting transactions through this integration.
Unique AI may store the connection information required to maintain an authorized QuickBooks connection, including OAuth access and refresh tokens and the QuickBooks company identifier assigned by Intuit.
QuickBooks remains the authoritative accounting system for accounting records that it governs.
5. Reconciliation and Suggested Matches
Unique AI may compare internal financial classifications with information obtained from QuickBooks and display potential matches, discrepancies, exceptions, or reconciliation suggestions.
Such results are decision-support information.
A suggested match is not automatically an approved accounting classification and does not independently change QuickBooks or Unique’s authoritative financial mappings.
Users are responsible for reviewing consequential reconciliation results before relying on or approving them.
6. Artificial Intelligence and Automated Outputs
Some Unique AI features may use artificial intelligence or automated processing.
AI-generated summaries, recommendations, classifications, or other outputs may contain errors or uncertainty and should be reviewed in proportion to the importance of the decision.
AI output does not independently constitute company authority, accounting advice, legal advice, tax advice, engineering approval, contractual approval, or authorization to take an action.
The current QuickBooks integration does not send QuickBooks-derived data to an AI model for inference.
7. Third-Party Services
Unique AI may depend on or integrate with third-party services, including Intuit QuickBooks Online and Amazon Web Services.
Use of third-party services may also be governed by the terms, policies, availability, and technical requirements of those providers.
Unique is not responsible for outages, changes, errors, or other conditions caused solely by third-party services outside Unique’s reasonable control.
8. Business Information and Data
Users may encounter confidential, financial, proprietary, customer, employee, supplier, operational, or other protected business information through Unique AI.
Users must handle such information according to applicable permissions, company policies, confidentiality obligations, and law.
The ability to technically retrieve information does not authorize its use or disclosure for an unauthorized purpose.
9. Availability and Changes
Unique may modify, improve, restrict, suspend, or discontinue features of Unique AI.
The platform is under active development, and functionality may change over time.
Unique does not guarantee that every feature will always be available, uninterrupted, error-free, or compatible with every third-party service.
10. No Professional Advice
Unique AI is a business-support platform.
Unless expressly provided by an appropriately qualified human professional, information generated or displayed through Unique AI should not be treated as independent legal, tax, accounting, engineering, safety, insurance, or other regulated professional advice.
Users remain responsible for obtaining appropriate professional review where required.
11. Intellectual Property
Unique AI and its associated software, designs, workflows, documentation, branding, and proprietary materials are owned by or licensed to Unique Landscapes by Griffin, Inc.
Third-party trademarks, products, and services remain the property of their respective owners.
“QuickBooks” and “Intuit” are trademarks or service marks of Intuit Inc. Unique AI is not Intuit and is not authorized to make commitments on Intuit’s behalf.
12. Suspension and Termination
Unique may suspend or terminate access to Unique AI when a user:
Upon termination of access, rights granted under these Terms end immediately.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Unique AI is provided on an “as available” basis.
Unique makes no guarantee that automated analysis, third-party data, suggested matches, or generated content will always be complete, accurate, current, or suitable for every business decision.
Nothing in these Terms limits obligations that cannot legally be limited.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Unique Landscapes by Griffin, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use Unique AI.
This limitation does not apply where liability cannot legally be excluded or limited.
15. Changes to These Terms
We may update these Terms as Unique AI evolves or as legal, security, operational, or third-party requirements change.
The current version will be made available at this public location together with its effective date.
Continued use of Unique AI after an updated version becomes effective constitutes acceptance where permitted by applicable law and company policy.
